本規約は、CLT NY INC.（以下「当社」）が提供するスマートフォンアプリ「CLT Members」（以下「本アプリ」）の利用条件を定めるものです。本アプリを利用された時点で、本規約に同意いただいたものとみなします。
1. 本アプリについて
本アプリは、当社の会員管理サービスを導入している会社・クラブ・お店（以下「利用会社」）の会員とスタッフのためのアプリです。ご利用には、利用会社への会員登録またはスタッフ登録が必要です。利用会社が提供するサービス（飲食、施術、イベント、施設の利用など）の内容、料金、キャンセルの条件は、利用会社が定めます。
2. アカウント
ログインは、利用会社に登録されたメールアドレスに届く 6 桁のコードで行います。パスワードはありません。アカウントを第三者に使わせないでください。メールアドレスの管理と端末の管理は利用者の責任で行ってください。
3. 料金と支払い
本アプリは無料で提供され、アプリ内課金はありません。注文・予約・イベントなどの料金は利用会社に対して支払うものであり、利用会社が契約している決済サービスで処理されます。当社は代金を受け取らず、カード情報も保持しません。返金・キャンセルは利用会社の定めによります。通信料は利用者のご負担となります。
4. スタッフ向けの機能
勤怠の打刻、休暇・残業の申請、業務の画面は、利用会社の指示に従って使ってください。記録の内容は利用会社が確認します。
5. 禁止事項
他人のアカウントの利用、なりすまし、本アプリやサーバーへの不正なアクセス、過度な負荷をかける行為、本アプリの逆コンパイル・逆アセンブル、利用会社や他の利用者に迷惑をかける行為、および法令や公序良俗に反する行為を禁止します。
6. 知的財産権
本アプリのデザイン、プログラム、文章その他のコンテンツに関する権利は当社または正当な権利者に帰属します。利用会社が本アプリに入れたデータ（会員名簿、お知らせ、メニューなど）の権利は利用会社に帰属します。
7. サービスの変更・終了
当社は、本アプリの内容を変更し、または提供を終了することがあります。保守や障害対応のため、一時的に止めることがあります。サービスを終了する場合は、可能な限り事前にお知らせします。
8. 免責事項
本アプリは現状有姿で提供され、その完全性、正確性、有用性について保証しません。利用会社が提供するサービスそのもの（飲食、施術、イベントなど）について、当社は責任を負いません。本アプリの利用または利用できなかったことに起因して利用者に生じた損害について、当社の故意または重大な過失による場合を除き、当社は責任を負いません。
9. 準拠法と管轄
本規約はアメリカ合衆国ニューヨーク州法に準拠します。本アプリに関して紛争が生じた場合、ニューヨーク州の裁判所を第一審の専属的合意管轄裁判所とします。

These terms govern the use of the smartphone app “CLT Members” (the “App”) provided by CLT NY INC. (“we”). By using the App you agree to these terms.
1. About the App. The App is for members and staff of companies, clubs, restaurants and salons that use our membership service (each a “Business”). You need to be registered as a member or staff of a Business to use it. The services a Business provides (food and drink, treatments, events, use of facilities) and their prices and cancellation conditions are set by the Business.
2. Account. You sign in with a 6-digit code sent to the email address registered by the Business; there is no password. Do not let anyone else use your account. You are responsible for your email account and your device.
3. Fees and payments. The App is free and has no in-app purchases. Fees for orders, reservations and events are paid to the Business through the payment provider it contracts with. We do not receive payments and do not store card details. Refunds and cancellations follow the Business’s policy. Data charges are your responsibility.
4. Staff features. Use clock-in/out, leave and overtime requests and work screens as instructed by your Business, which verifies the records.
5. Prohibited conduct. Using another person’s account, impersonation, unauthorized access to the App or servers, placing excessive load, decompiling or disassembling the App, harming a Business or other users, and any unlawful conduct.
6. Intellectual property. Rights in the App’s design, code and content belong to us or the rightful owners. Data a Business puts into the App (member lists, news, menus) belongs to that Business.
7. Changes and termination. We may change the App or stop providing it, and may suspend it temporarily for maintenance or incidents. We will give notice in advance where possible.
8. Disclaimer. The App is provided as is, without warranty of completeness, accuracy or fitness. We are not responsible for the services a Business provides. Except in cases of our willful misconduct or gross negligence, we are not liable for damages arising from use of, or inability to use, the App.
9. Governing law. These terms are governed by the laws of the State of New York, USA. The courts of the State of New York have exclusive jurisdiction in the first instance.
